With over 20 years of experience, I provide senior-level legal judgment to businesses navigating complexity, growth, and change.

My work spans the full range of issues a general counsel is expected to handle, from day-to-day legal questions and contract review to employment matters, litigation oversight, governance support, and managing outside counsel. I focus on helping leadership teams make sound decisions in situations where the law intersects with business judgment, risk tolerance, and practical constraints.

I work in close partnership with executives and in-house legal teams, either acting as an embedded general counsel or supporting existing legal leadership during periods of increased complexity or transition. My approach is pragmatic, context-driven, and informed by real-world experience advising companies across a wide range of industries and operating environments.

The goal is not to over-lawyer problems, but to help clients move forward with clarity. I start by understanding the business first, then focus on the risks, tradeoffs, and decisions that actually matter.

Experience

I bring over 20 years of legal experience advising businesses across a wide range of industries and operating environments, including public companies, private companies, and sponsor-backed organizations.

My background includes senior in-house roles with responsibility for securities compliance, corporate governance, board support, executive compensation disclosure, and complex transactional matters, as well as day-to-day legal leadership across contracts, employment, litigation oversight, and outside counsel management.

I also teach Securities Law in Practice: Advising the Public Company as an adjunct professor at the University of Illinois College of Law, where I focus on the practical application of disclosure, governance, and legal judgment in real-world settings.

That experience shapes how I approach advisory work today. I focus on helping clients anticipate issues, manage risk thoughtfully, and make informed decisions that align legal requirements with business realities.
